Overview

Agri-Dynamics, Inc. (AGDI.PK) has acquired all the common stock of The GPS Tracking Network, Inc. (GPS Tracking), a minority owned Nevada corporation, with principal offices in Dallas, Texas. GPS Tracking is a leading provider of GPS-based tracking and location services to consumers, commercial businesses and governmental entities, including law enforcement units. The merger will provide GPS Tracking with better access to the investor and business communities to accelerate our rapid growth.

The GPS Tracking Network was formed in 2008 to become the premier minority owned GPS company in the nation. With its focus on the Fleet and Governmental agencies, city, county and state. The GPS Tracking Network has found the niche in the GPS market place. It already has over 1000 GPS active devices on the road today. With the ever increasing demand for GPS products and it’s headquarters in Dallas, Texas, The GPS Tracking Network intends to take advantage of the good Texas economy in these troubling times.

-Business Background-

The GPS Tracking Network (“GPS Tracking” or the “Business”) is a private, minority owned company, founded by Randy Safford to provide an internet-based vehicle tracking service to commercial vehicle operators and governmental agencies. The operation also targets internet consumer sales and specializes in “Teen Tracking”; a unique way to monitor, how, when and where kids drive. The business was incorporated in Nevada, January 2008. With offices at 9101 LBJ Freeway, Suite 650, Dallas, Texas 75243. “GPS Tracking” is one of the few minority owned GPS tracking companies in the United States.

-The Market-

With units available for less than $300, global positioning system (GPS) receivers are now affordable to the masses, enabling applications unthinkable just 18 months ago. These emerging applications, plus renewed growth in existing markets, will help propel the global GPS market above $22 billion by 2009, according to technology market research firm ABI.

GPS consists of a cluster of two-dozen satellites enabling devices to pinpoint their location within feet of their actual location. New applications on the rise include people tracking, automatic vehicle location (AVL), asset tracking, and recreational use. The industry has been given a further boost by the E911 initiative in the United States, as wireless carriers look to GPS to enable positioning to meet the Federal Communication Commission's mandate. "On the automotive platform, GPS has enabled a host of new telematics applications, from tracking a teen's use of the family car to automatic tax collection for interstate trucking companies," states Frank Viquez, Director of Automotive Electronics at ABI. "GPS is the engine driving much of the telematics industry," he adds.
